*Legislative requirement of substantial shareholders

Under Section 671B of the Australian Corporations Act a person is required to give certain information to a listed company if:

- that person begins to have, or ceases to have a substantial holding in that company: or

- the person has a substantial holding in that company and there is a movement of at least 1% in their holding.

A person has a substantial interest holding in that company if that person and their associates have a relevant interest in 5% or more of the total number of votes attached to the voting shares in that company. There is a movement of at least 1% in a persons holding in a company if the relevant interest of that person and their associates in the votes attached to the voting shares in the company increases or decreases by 1% or more of the total number of votes attached to the voting shares in that company. In broad terms, this means that a Brambles Limited shareholder is required to notify Brambles Limited if they acquire an interest of 5% or more in Brambles Limited's ordinary share capital or, it they already have an interest of 5% or more, they acquire or dispose of 1% or more of Brambles Limited's ordinary share capital.

If the above circumstances apply, the information that, and the form in which it needs to be given, is prescribed.The information must be given within two days of the person having, or ceasing to have a holding or, if they have a substantial holding, there being a movement of at least 1% in their holding.
